            Procedures of Tender Invitation and Bidding for Minerals

            All   Prospective  of   buyer  are  invited  by  telex, fax, email and announcement  to  bid  for  the  quantity  available  in each  tender  and  all  bidders  are   expected  to  put  in their  proposed  terms  of         purchase by   sealed  envelope  before  the  closing  date  and  the  result  of  the  tender  will  be  announced  to  the  successful  bidder  within  a  few  days   after  the  tender  is  closed. There  is  no particular  form  prescribed  for  the  buyers  to  bid  but  in  every  bid buyers must  clearly  give  proper  references  to  the  tender  invitation  with  clear  and  unambiguous   pricing   terms  stating   the  price   fixing  date, whether  the  price  basis  is  CIF, C & F or F.O.B. It  is  usual  that  we  base  our  pricing  of  LME  quotation.

            General Terms  and  Conditions  required  for  Sales   Contract 

            (a)        Payment:         by means of an irrevocable letter of credit opened by or  confirmed                                                              by  a  bank   acceptable   to   Myanma  Foreign  Trade Bank,                                                                         Yangon. Myanmar  in  Seller�s  favor  through  Myanma Foreign                                                       Trade  Bank  allowing  payment  in  Yangon  against 

                                                Presentation of the following document;

(I)                                Seller�s commercial invoice.

(II)                               Complete set original clean  on  board  bills  of  leading  issued

                                    According  to  instructions  of  buyer.

(III)                                                            Certificate  of  Origin.

(IV)                                                           Weight  Certificate  issued  by  sellers.

(V)                                                              Assay  Certificate  issued  by  sellers.

It  is  required  by  the  MFTB  that payment  should  be  re-embursed  by   the   opening  bank  by  Telegraphic  Transfer.

            (b)        The Letter of Credit:  must  provide  for   payment  of  bank  collecting

                                    Commission ,  postage  ect. The  letter  of  credit  must  not  contain  terms

                                    that are  not According   to  the  terms  of  contract.                           

                                    In  case   the   letter  of  credit  should  contain  any  stipulation  that  are

                                    not  acceptable  to  the  sellers , the  buyers  shall  immediately

amend/delete  the   terms  according  to the  instructions  of  the  sellers.

Full  text  and  operative  letter  of  credit  must  reach  the  sellers  at  least

(10) days  before  tentative  date  of  shipment. In the event  of  buyers 

failure to open the letter  of  credit  as  stipulated  above  the  sellers  shall

have  the  right  to  cancel  the contract.

            (c )       Weight  and Assay

                                    The No. 2 Mining Enterprise refiner�s weight and assay issued by the seller shall be accepted as final for Refined Tin. For Concentrate, usual weighing, sampling  and  moisture , determination   practice  at  buyers  works  in  acceptable . Payment  for  concentrates

Should  be  made  by  L.C  for  90 %  provisional  Invoice   value  on  shipment. Balance by T T within  One  Month  after   determination  of  Final  weight,  assay  and  pricing  are  known  at  the  port  of  discharge.

(d)               Force  Majeure:

Usual  Force  Majeure  Clauses  to  apply.

(e)                Arbitration:

Any  controversy  of  claims  arising  out  of  or  relating  to  this   sales 

confirmation   or  the  breach   thereof  shall  be  settled  by  arbitration in

yangon  in  accordance  with  rules  and  regulations  existing  of  the  Government  of  the  Republic of the Union  of  Myanmar.
